Terms of Service

These Terms govern your use of the Dinify platform and website (the "Service"), operated by Yagnotech Inc. ("Yagnotech", "we", "us"), a company incorporated in Canada. Dinify® is a registered trademark of Yagnotech Inc. By creating an account or using the Service, you agree to these Terms.
1. The Service
Dinify provides restaurant operations software: ordering, point of sale, kitchen display, payments, loyalty, gift cards, marketing and analytics. Features available to you depend on your plan.
2. Accounts
You're responsible for your account, your staff's access, and keeping credentials secure. You must provide accurate information and be authorised to act for your business.
3. Plans, fees & billing
Paid plans are billed in advance (monthly or yearly) per location, in CAD, unless agreed otherwise. Card processing is provided by Stripe at its rates and settles to your connected account. Third-party delivery providers may bill Dinify centrally. You authorize Dinify to reserve from the applicable delivery order proceeds the exact quoted or final courier charge and courier tip, without markup, and to retain an actual post-booking cancellation charge pending reconciliation. Dinify releases verified over-reserves in accordance with the delivery refund policy. Dinify subscription fees are non-refundable except where required by law. We may change pricing with notice; changes apply at your next renewal.
Promotional offers (for example, our Founding 50 program) are governed by the terms published with the offer. They may be limited in number and duration, and we may modify or withdraw an offer prospectively at any time. Benefits already redeemed are honoured for their stated period.
4. The Free plan, fair use & usage limits
Our Free plan carries a subscription fee of $0. When we say the Free plan is "free forever", we mean precisely that: we will not charge a subscription fee for the Free plan. It is not a time-limited trial, and no credit card is required to use it.
What a plan costs and what a plan includes are two different commitments, and only the first one is fixed. The features, capacity and usage limits of every plan, including the Free plan, are set by us and will evolve as the Service evolves. We may add, change, restrict, reassign between plans, or retire features and limits at any time. Where a change materially reduces what your current plan includes, we will give reasonable advance notice through the Service or by email, and the change will apply prospectively.
AI-powered features consume computing resources each time they run, so they are subject to fair-use limits on every plan. In particular, the AI Waiter on the Free plan is subject to a usage cap, including a daily cap per restaurant. We set the level of that cap and may raise, lower, restructure or redefine it (for example, per day, per table or per month) at any time, at our sole discretion, without prior notice. When a cap is reached, the affected feature pauses until the next period; the rest of the Service continues to work. Current limits are available on request at info@dinify.ca.
We may throttle, limit or suspend usage that is commercially unreasonable, that materially degrades the Service for others, or that we reasonably consider abusive (for example, automated or scripted traffic directed at AI features).
For clarity, online card processing is provided by Stripe at Stripe's rates on every plan; those processing fees are charged by Stripe and are not waived by any Dinify plan, free or paid.
5. Payments to you
Online payments from your diners are processed through your own Stripe account. You are the merchant of record for those transactions and responsible for your tax obligations, refunds and chargebacks.
6. Your content & data
Your menu, branding and guest data remain yours. You grant us a worldwide, perpetual, irrevocable, royalty-free licence to host, store, process and analyze your content and the data generated through your use of the Service (including order, menu, transaction and guest-interaction data) to provide, secure and improve the Service, and to develop and improve features, algorithms and machine-learning / AI models. As between you and us, Dinify owns all aggregated and de-identified data (data that does not identify you, your diners, your employees or any individual) and may use, disclose and commercialize it for any lawful purpose, including benchmarking and licensing derived analytics and insights. This licence and ownership survive termination with respect to data already processed. You're responsible for having the right to use the content you upload.
AI-generated content. At your request, Dinify can generate content for your restaurant using third-party AI models — including menu-item images, welcome messages, descriptions and marketing copy ("AI Content"). AI Content is generated under Dinify's provider accounts and is owned by Dinify; while you're subscribed, you have a non-exclusive licence to display it within the Dinify platform. AI-generated menu images are illustrative depictions of a typical dish — not photographs of the food you actually serve — and are labeled as AI-generated to diners. You're responsible for reviewing AI Content before publishing it and for replacing anything that misrepresents what you serve. Your licence to AI Content ends with your subscription; photos you took or commissioned yourself remain yours.
7. Marketing & acceptable use
Where you use Dinify's tools to send commercial electronic messages (email or SMS) to your diners, you are the sender of those messages and are solely responsible for compliance with Canada's Anti-Spam Legislation (CASL), the U.S. TCPA / A2P 10DLC rules, and all other applicable marketing and consent laws. You represent that you have obtained and maintain valid consent for every recipient you contact, that your sender identification is accurate, and that you will honour unsubscribe requests. Dinify provides consent-capture, sender-identification and unsubscribe tooling but does not verify the lawfulness of your contact lists or message content.
Don't use the Service unlawfully, to send messages without a lawful basis, to infringe others' rights, or to disrupt or reverse-engineer the platform.
8. Availability
We work hard to keep the Service available but don't guarantee uninterrupted operation. We may perform maintenance and update features.
9. Termination
You can cancel anytime from billing settings. We may suspend or terminate accounts that breach these Terms or for non-payment. On termination you can export your data for a reasonable period.
10. Disclaimers & liability
The Service is provided "as is". To the extent permitted by law, Yagnotech's aggregate liability is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect or consequential losses.
11. Governing law
These Terms are governed by the laws of the Province of British Columbia, Canada, and the courts located there have exclusive jurisdiction.
12. International use
The Service is operated from Canada. If you use it outside Canada, you do so on your own initiative, and you are responsible for compliance with the laws that apply to your business where you operate, including tax collection and remittance, receipt and invoicing requirements, food-information and allergen disclosure rules, licensing, and any consent or notice obligations you owe your own guests. Subscription fees are billed in Canadian dollars unless we agree otherwise; your card issuer sets any currency conversion rate. These Terms, including section 11, apply wherever you use the Service.
